Traber, head of Foley & Lardner’s corporate department in Florida.

“The value of a company today, whether it is a pure dot com or a traditional firm that has migrated some or all its business to the Web, is based almost entirely on its intellectual property,” says Traber. “One result of this valuation shift has been an increase in the incidence of competitors ‘borrowing’ ideas, a practice that can be defined either as piracy or savvy business practice depending upon how well a company has protected itself.”

With business today becoming increasingly knowledge-based, its “assets” are highly portable, he adds. “It’s impossible to prevent employees from taking intellectual property with them when they leave. Strategic partners and even vendors also have access to company secrets, so it’s easy to see why the lines of ownership become very blurred when it comes to intellectual property.”

Methods for protecting trade secrets and other intellectual property in today’s Internet-based commerce are as varied as the businesses creating the property. Patents, trademarks, copyrights, nondisclosure and confidentiality agreements, even non-compete covenants and employment agreements that convey title of intellectual property back to the company, all play an important role in protecting a company’s interests from its current and prospective competitors.
